The RESALE & E-SHOP SERVICE TERMS & CONDITIONS (these “e-Shop Terms”) govern any purchase-enablement, resale of goods, order-placement, order-management, seller-coordination, and related e-commerce services made available by Shopping Assistant, LLC (“Shopping Assistant”) through the IZI1 Platform. These e-Shop Terms may be supplemented by certain terms of Shopping Assistant’s partners and affiliates, including the IZI1 Master Platform Service Terms & Conditions (the “Master Terms”), which are incorporated herein by reference.
Shopping Assistant is an independent third-party e-commerce merchant and reseller. Unless expressly stated otherwise in writing, Shopping Assistant is not acting as your agent, as IZI1’s agent, or as the agent of any Original Retailer for the sale of goods. Transactions completed through the e-Shop Service are structured as resale transactions between you and Shopping Assistant, not as a marketplace or agency arrangement, and by proceeding with an e-Shop transaction you acknowledge that you are contracting solely with Shopping Assistant and not with IZI1, any supplier, any Original Retailer, any manufacturer, any logistics provider, or any carrier that may subsequently handle or transport the goods. All transactions and services between Shopping Assistant and you are subject to these e-Shop Terms, except to the limited extent another service is separately provided under its own applicable terms.
- Scope; Nature of Service. The e-Shop Service may allow eligible Users to request that Shopping Assistant purchase goods from participating Original Retailers or other approved sources on the User’s behalf, process payment using Shopping Assistant’s accepted payment channels, arrange shipment of the purchased goods to a designated IZI1 or Partner facility, and, where available, facilitate onward package handling, forwarding, or related services through the Platform. The e-Shop Service may also include order review, item sourcing support, merchant communication, order-status updates, and cancellation or refund coordination, subject to these e-Shop Terms, the applicable checkout flow, and operational feasibility.
- Merchant of Record; Independent Seller Role. For transactions completed through the e-Shop Service, Shopping Assistant, and not IZI1, may be the merchant of record and the contracting seller or reseller, as applicable, for the goods identified in the applicable order confirmation. Shopping Assistant may purchase goods from an Original Retailer for resale to you, may facilitate procurement through one or more intermediaries, or may otherwise structure the transaction in the commercially or operationally appropriate manner it determines in its discretion. You acknowledge that your purchase contract for e-Shop transactions is with Shopping Assistant, not with IZI1 and not with the Original Retailer unless expressly stated otherwise in writing. No statement, product display, checkout flow, shipment update, or customer-support communication will modify that allocation of roles absent an express written statement to the contrary issued by Shopping Assistant.
- Eligibility; Account Requirements. The e-Shop Service is available only to approved Users with an active IZI1 Account in good standing and only for destinations, product categories, payment channels, and transaction sizes supported by Shopping Assistant at the time of purchase. Shopping Assistant and IZI1 may impose identity-verification, payment-verification, sanctions-screening, fraud-screening, geographic, transaction-history, or other eligibility requirements as a condition of access to the e-Shop Service.
- Order Placement; Offer and Acceptance. By submitting an e-Shop order request, you make an offer to purchase the identified goods and any related services under the pricing and terms shown at checkout or otherwise communicated through the Platform. An order request is not accepted, and no binding contract is formed, until Shopping Assistant expressly confirms acceptance of the order or otherwise communicates that the order has been successfully placed or approved. Automated acknowledgements of receipt, order-request numbers, pending-status notifications, payment authorizations, or similar system messages do not constitute acceptance. Shopping Assistant may reject, cancel, limit, or refuse any order request in whole or in part before acceptance due to pricing changes, merchant restrictions, product unavailability, suspected fraud, legal or compliance concerns, quantity limits, payment issues, sourcing difficulties, sanctions concerns, or other operational reasons.
- Upstream Retailer Information; Availability; No Continuous Accuracy Guarantee. Product descriptions, images, prices, dimensions, specifications, merchant promotions, and estimated availability displayed in connection with the e-Shop Service may originate from Original Retailers, third-party retailers, data feeds, or automated systems and may change without notice. Shopping Assistant does not guarantee that any item remains in stock, will be available at the displayed price, will be eligible for purchase, or will match all displayed information at the time the order is actually placed. Shopping Assistant is not responsible for retailer errors, cancellations, refusals, inaccurate upstream product descriptions, retailer return rejections, manufacturer recalls, or other upstream merchant or source issues except to the limited extent Shopping Assistant expressly agrees to provide a remedy under these e-Shop Terms or non-waivable law.
- Pricing; Fees; Taxes; Currency. Unless expressly stated otherwise, the total amount presented to you for an e-Shop transaction may include the item purchase price, any reseller markup, commission, or service fee, payment-processing charges, shipping charges to a designated facility, taxes, duties, handling fees, currency-conversion impacts, and other charges disclosed at or before checkout. Prices reflect Shopping Assistant’s independent resale pricing and not any upstream retailer price or cost basis. Except to the extent required by law or expressly stated otherwise at checkout, all sales are final once accepted, subject only to the limited return, refund, or other remedy provisions expressly set forth in these e-Shop Terms. Prices may be displayed in one currency and settled in another depending on the available payment method, your location, or the operational structure of the transaction. Shopping Assistant reserves the right to correct obvious pricing errors and, where necessary, cancel or reprice an order before acceptance.
- Payment Authorization; Charge Collection. By placing an e-Shop order, you authorize Shopping Assistant, IZI1, and their designated payment processors, collection agents, commercial intermediaries, or other service providers to charge the payment method, local collection method, wallet, bank-transfer channel, or other payment instrument you select for the full amount due, together with any later-authorized adjustments expressly permitted under these e-Shop Terms, including re-rates, additional taxes or duties, return-related charges, chargeback costs, or other amounts you expressly or impliedly incur through your requested transaction to the maximum extent permitted by law. Shopping Assistant may place authorizations, verify funds, capture funds immediately, capture funds upon order acceptance, or use staged payment collection depending on the transaction design and payment channel. If payment authorization fails, is reversed, expires, is disputed, or is not successfully collected, Shopping Assistant may suspend, cancel, or refuse the order, withhold release of related goods or Services, offset available credits, and pursue collection of unpaid amounts to the maximum extent permitted by law.
- No Obligation to Advance Funds. Shopping Assistant is not obligated to purchase, source, reserve, or ship any goods unless and until it has successfully obtained payment authorization or otherwise approved your transaction under its internal policies. Any communication indicating that Shopping Assistant is reviewing, attempting, or preparing an order does not obligate Shopping Assistant to advance funds, extend credit, or complete the purchase.
- Substitutions; Quantity Limits; Merchant Controls. Shopping Assistant is not required to substitute alternate items, colors, sizes, configurations, or retailers if the requested item becomes unavailable, unless you expressly authorize substitutions and Shopping Assistant elects to support them. Original Retailers may impose quantity limits, cancellation rights, identity checks, address restrictions, anti-bot controls, and other conditions outside Shopping Assistant’s control. Shopping Assistant may comply with any such restrictions and may decline to proceed with an order if doing so would violate retailer rules or create legal, operational, fraud, or compliance risk.
- Retailer Communications; Promotions; Coupons. Shopping Assistant may, but is not required to, apply publicly available retailer promotions, coupons, loyalty benefits, or discounts when completing an order. Shopping Assistant does not guarantee eligibility for any merchant promotion, and any failure to obtain or apply a promotion does not create a right to cancellation, refund, or damages unless required by law or expressly stated at checkout. Shopping Assistant may communicate with retailers, carriers, payment processors, or service providers as reasonably necessary to source, purchase, confirm, or support your order.
- Fulfillment to Facility; Shipping, Handling, and Downstream Services. Unless expressly stated otherwise, Shopping Assistant’s delivery obligation for the sale of goods is satisfied when the goods purchased through the e-Shop Service are delivered to the designated IZI1 or Partner facility, or to another delivery point specified for the transaction, as evidenced by merchant, carrier, or platform records reasonably relied upon by Shopping Assistant. Shipping, logistics, package handling, storage, forwarding, export, customs, last-mile delivery, return shipping, package-protection determinations, and other downstream services occurring after that delivery point may be performed by IZI1, its affiliates, Partners, carriers, warehouse providers, or other third parties under their own applicable terms. Shopping Assistant is not responsible for downstream carrier delays, downstream loss or damage, customs inspections or holds, platform-provided fulfillment errors after its delivery obligation is satisfied, or post-sale service failures of such third parties except to the extent non-waivable law requires otherwise.
- Estimated Procurement and Delivery Times. Any estimated order-processing time, retailer lead time, merchant shipping time, or expected delivery date presented through the Platform is an estimate only and is not guaranteed. Shopping Assistant is not responsible for delays caused by retailer fulfillment practices, inventory constraints, address validation issues, fraud reviews, payment delays, weather, carrier disruptions, customs processes, or other causes beyond its reasonable control.
- Cancellations Before Procurement. You may request cancellation of an e-Shop order before Shopping Assistant accepts the order or before Shopping Assistant has irrevocably committed funds or completed procurement with the retailer. Cancellation requests are subject to timing, system status, and operational feasibility. Once Shopping Assistant has placed the order with the retailer, captured funds in connection with a committed purchase, or otherwise begun irreversible procurement steps, the order may be non-cancellable.
- Returns; Retailer Policies; Restocking. Except to the extent required by non-waivable law or expressly approved by Shopping Assistant in writing, all e-Shop sales are final once accepted. If Shopping Assistant elects, in its discretion, to facilitate a return, exchange, refusal, or post-procurement cancellation, such return is subject to Shopping Assistant’s instructions, the applicable retailer’s policies, product-condition requirements, timing limits, cross-border restrictions, and operational feasibility. Some goods may be final sale, non-returnable, hygiene-restricted, customized, perishable, used, opened, or otherwise ineligible for return. Shopping Assistant has no obligation to accept a return, facilitate a retailer return, or provide a refund unless and until the applicable retailer or other source accepts the return or issues a corresponding recovery, except to the extent non-waivable law requires otherwise. If Shopping Assistant agrees to facilitate a return or exchange, you remain responsible for any retailer restocking fees, return-shipping charges, package-handling fees, currency losses, taxes, duties, or other non-refundable costs unless otherwise required by law.
- Refunds; Credits; Timing. If Shopping Assistant determines, in its discretion or as otherwise required by applicable law, that a refund, credit, reversal, or other remedy is appropriate, or if Shopping Assistant receives a refund, credit, or recovery from the retailer or another source relating to your order, Shopping Assistant may issue the corresponding remedy to you only as the original payer or to the original payment source, except where applicable law requires otherwise, and may do so in the form of a refund to the original payment method, alternate payment method, local collection channel reversal, account credit, setoff, or another commercially reasonable form of value to the extent permitted by law. Refund timing may depend on retailer confirmation, payment-processor timelines, bank processing times, foreign-exchange settlement, chargeback review, fraud review, or other operational factors. Unless prohibited by law, Shopping Assistant may deduct non-refundable fees, shipping charges, handling charges, return-processing costs, currency losses, taxes, duties, and other amounts properly incurred in connection with the transaction.
- Customs; Import Restrictions; Prohibited Goods. You are solely responsible for ensuring that goods purchased through the e-Shop Service are lawful to import, possess, use, and receive in the destination country and that they comply with all applicable sanctions, export-control, customs, consumer-product, and local regulatory requirements. Shopping Assistant may refuse to procure or deliver any goods that are prohibited, restricted, high-risk, or otherwise unsuitable for the e-Shop Service. If goods become subject to seizure, customs hold, refusal, export restriction, or other legal impediment, you remain responsible for resulting losses, costs, duties, taxes, storage charges, return charges, penalties, or disposal expenses, except to the extent non-waivable law provides otherwise.
- Title; Risk of Loss; Claims. Title to goods sold through the e-Shop Service passes as permitted by applicable law and the transaction structure used by Shopping Assistant, but not before Shopping Assistant has received payment in full for the applicable transaction. Unless non-waivable law requires otherwise, risk of loss or damage transfers to you no later than the time the goods are delivered to the designated IZI1 or Partner facility, to another stated delivery point, or into the next logistics flow selected for your benefit. Once goods are tendered into any downstream shipping, handling, storage, customs, or forwarding flow after Shopping Assistant’s delivery obligation is satisfied, those downstream services are governed by the applicable separate IZI1, Partner, carrier, warehouse, or program terms. Claims for missing, incorrect, damaged, or non-conforming goods must be submitted strictly in accordance with the Master Terms and any applicable service-specific terms, together with photographs, proof of value, order details, packaging evidence, and any other information reasonably requested for investigation. Failure to provide timely notice or required supporting evidence may bar or reduce the claim to the maximum extent permitted by law.
- Chargebacks; Fraud; Setoff. You may not initiate a chargeback, payment reversal, or payment dispute in bad faith or in relation to amounts properly due under an accepted e-Shop transaction. If you initiate a chargeback or reversal, Shopping Assistant and IZI1 may suspend your Account, withhold shipment release, offset any credits or refunds otherwise due to you, contest the dispute using available evidence, and recover their reasonable costs of collection to the maximum extent permitted by law. Shopping Assistant may cancel orders, refuse service, or require additional verification if it suspects fraud, abuse, card misuse, sanctions risk, reseller abuse, or other suspicious activity.
- Condition of Goods; No Retailer Warranty Assumption; Limited Role. To the maximum extent permitted by applicable law and except as otherwise expressly stated in writing, goods sold through the e-Shop Service are sold on an “as is” and “where is” basis when delivered to the applicable designated delivery point, and Shopping Assistant does not assume any manufacturer warranty, retailer warranty, product recall obligation, authenticity certification duty, product-testing duty, inspection duty, or after-sales service obligation. Shopping Assistant does not manufacture the goods and is not responsible for manufacturer defects, latent defects, merchant misdescriptions, recalled items, sizing or compatibility issues, or dissatisfaction with the goods themselves, except to the extent a return, refund, or other remedy is expressly available under these e-Shop Terms or non-waivable law.
- Service Disclaimers. Without limiting the Master Terms, the e-Shop Service is provided on an “as available,” “as is,” and transaction-specific basis. Shopping Assistant does not guarantee successful sourcing of every requested item, continued retailer relationships, uninterrupted payment-channel availability, successful merchant checkout, uninterrupted retailer promotions, guaranteed procurement times, guaranteed delivery dates, or the availability of any specific payment, shipping, customs, or post-sale workflow. To the maximum extent permitted by law, Shopping Assistant is not responsible for losses caused by retailer cancellation, merchant fraud, inventory errors, pricing changes, carrier delays, customs intervention, payment-network interruptions, manufacturer defects, or other third-party acts or omissions except to the extent non-waivable law requires otherwise.
- Incorporation; Order of Precedence. These e-Shop Terms are part of the contractual framework governing the Services and are incorporated into the Master Terms. The Master Terms, including all provisions regarding payment, claims procedures, indemnity, limitations of liability, exclusions of damages, dispute resolution, arbitration, class-action waiver, jury waiver, governing law, and changes to terms, apply to the e-Shop Service as if fully set forth herein, except that references to IZI1 as the seller of goods, merchant of record, or party responsible for retailer-facing sales obligations do not apply to e-Shop transactions unless expressly stated otherwise in writing. In the event of a conflict between these e-Shop Terms and the Master Terms, these e-Shop Terms will control solely with respect to the e-Shop Service and Shopping Assistant’s role in those transactions. No statement by any retailer, carrier, customer-service representative, or other third party will alter or expand Shopping Assistant’s or IZI1’s obligations unless expressly approved in writing by Shopping Assistant or IZI1, as applicable.
