IZI1 Website Terms of Use

These IZI1 WEB TERMS OF USE (these “Web Terms”) govern your access to and use of the websites, portals, customer-account interfaces, informational pages, online services, and related systems of IZI1 LLC (“IZI1,” the “Company,” “we,” “our,” or “us”), including all content, functionality, tools, features, and materials made available on or through them (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Web Terms. These Web Terms apply to the Site on a public-facing basis and may be posted on the Site for general access. Certain services, transactions, or account-enabled functions made available through the Site may also be subject to separate service-specific terms, onboarding terms, checkout terms, or other additional terms presented in connection with those activities. If there is a conflict between these Web Terms and any applicable service-specific terms accepted in connection with a specific service or transaction, the more specific terms will control with respect to that specific service or transaction. Your use of the Site is also subject to the IZI1 Privacy Notice, which is incorporated by reference for privacy-specific matters.

Terms; Consent; Scope. By accessing or using the Site, you agree to these Web Terms with the same force and effect as a signed written agreement and represent and warrant that you are at least the age of majority in your jurisdiction and have authority to bind yourself and any person or entity on whose behalf you use the Site. If you do not agree to these Web Terms, you may not access or use the Site. These Web Terms govern your use of the Site and your interactions with IZI1 through the Site, whether or not you become a registered customer. The Site and certain services, content, or systems made available through the Site may incorporate, rely on, or involve the participation of IZI1’s affiliates, subsidiaries, agents, contractors, service providers, direct or indirect interest holders, strategic partners, and their respective owners, officers, directors, employees, representatives, successors, and assigns (collectively, “Related Parties”). To the extent any Related Party is involved in providing, supporting, or protecting the Site, these Web Terms inure to the benefit of, and may be enforced by, such Related Parties.
Access License; Permitted Use. Subject to your compliance with these Web Terms and any additional terms that may be presented to you for particular Site features or functions, IZI1 grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site solely for legitimate personal, informational, account-management, or authorized business purposes related to learning about, evaluating, or using IZI1’s publicly described offerings. No rights are granted except as expressly stated in these Web Terms, and all rights not expressly granted are reserved. Any use of the Site that exceeds the rights expressly granted in these Web Terms is strictly prohibited and may result in suspension or termination of your right to access and use the Site.
Site Changes; Availability; Access Control. IZI1 may modify, suspend, replace, restrict, or discontinue any portion of the Site, any content, any functionality, or the availability of the Site at any time, with or without notice, to the maximum extent permitted by applicable law. Access to the Site is provided on a temporary and revocable basis. The existence of the Site, any customer account, or any publicly described feature is not a promise or guaranty of continued access, future availability, or entitlement to services. IZI1 may also install updates, patches, fixes, and other changes to the Site without prior notice or liability. IZI1 does not guarantee continuous availability, uninterrupted operation, error-free performance, or that the Site will always be available, secure, or free from defects, delays, or harmful components. Your sole remedy if you do not agree with any modification to the Site is to discontinue using the Site.
Acceptable Use; Restricted Conduct. You may use the Site only in compliance with these Web Terms and all applicable laws. You may not, and may not permit any third party to: (a) copy, reproduce, modify, adapt, alter, translate, distribute, republish, scrape, frame, mirror, index, harvest, or systematically extract Site data, account data, product information, pricing, text, graphics, or other materials except as expressly permitted in writing; (b) reverse engineer, decompile, disassemble, create derivative works from, or otherwise attempt to discover the source code, structure, or underlying ideas of any software or functionality on the Site except to the limited extent applicable law expressly prohibits such restrictions; (c) access or attempt to access any account, system, network, or data without authorization; (d) use the Site or any Site Content to develop, train, support, or improve a competing service, platform, shopping tool, logistics service, model, or commercial database; (e) upload or transmit malware, malicious code, harmful content, or other destructive material; (f) use bots, scripts, crawlers, spiders, automation tools, or similar means to access or interact with the Site except as expressly authorized by IZI1; (g) misrepresent your identity, affiliation, authority, or location; (h) interfere with the operation, security, integrity, or performance of the Site or any other user’s use of the Site; (i) circumvent or attempt to circumvent any access controls, rate limits, technical restrictions, or protection measures used on the Site; (j) connect to or access any IZI1 computer system or network other than through the Site’s permitted interfaces; or (k) use the Site for unlawful, fraudulent, abusive, misleading, infringing, or commercially harmful purposes.
Monitoring; Enforcement; Improper Use. IZI1 may monitor, review, investigate, preserve, disclose, suspend, remove, block, or otherwise act regarding Site access, activity, content, Submissions, technical events, or account behavior to protect the Site, enforce these Web Terms, comply with law, respond to legal process, or address fraud, abuse, security, operational, or compliance concerns. IZI1 may investigate and prosecute violations to the fullest extent permitted by law and may cooperate with law enforcement, regulators, courts, service providers, and affected third parties. You agree to promptly notify IZI1 of any known or suspected improper use, unauthorized access, or security issue relating to the Site or any related system.
Eligibility; Accounts; Credentials; Account Activity. Certain portions of the Site may require you to create, maintain, or access an account. If you create or use an account, you agree to provide accurate, current, and complete information and to keep that information updated. You are responsible for maintaining the confidentiality and security of your credentials, devices, and access methods and for all activity that occurs under or through your account, whether authorized by you or not, except to the extent non-waivable law provides otherwise. IZI1 may accept or reject any request for account creation and may suspend, modify, limit, or terminate any account or account access at any time to the maximum extent permitted by law. We may refuse to grant you a username or similar credential if we reasonably believe it impersonates another person, infringes rights, or is offensive or inappropriate.
Electronic Signatures; Electronic Communications. By submitting forms, inquiries, registration information, onboarding information, service requests, or other materials through the Site, you consent to the use of electronic records and electronic signatures and to receive communications from IZI1 electronically, including through the Site, by email, by text message where permitted, or by other electronic means used in connection with your Site activity or account. You agree that such electronic communications satisfy any legal requirement that communications be in writing to the fullest extent permitted by law.
Submissions; User Content License. By uploading, submitting, posting, transmitting, storing, or otherwise providing any information, documents, data, messages, files, images, comments, requests, preferences, or other materials through the Site or any related IZI1 system (collectively, “Submissions”), you grant IZI1 and its Related Parties a worldwide, non-exclusive, transferable, sublicensable, royalty-free right and license to host, store, reproduce, modify, adapt, edit, format, transmit, disclose, distribute, display, create derivative works from, and otherwise use such Submissions as reasonably necessary or useful to: (a) operate, maintain, support, secure, and improve the Site and related systems; (b) manage your account and communications; (c) provide, facilitate, or improve services or transactions you request; (d) perform administrative, operational, analytics, training, fraud-prevention, compliance, commercial, or quality functions; and (e) create aggregated or de-identified data to the extent permitted by law and the Privacy Notice. You represent and warrant that you have all rights, authority, consents, and permissions necessary to provide the Submissions and that the Submissions do not violate any law or third-party rights. You remain solely responsible for your Submissions and for any consequences arising from them.
User Content Restrictions. You may not submit or transmit any Submission that: (a) infringes, misappropriates, or violates the intellectual property, privacy, publicity, confidentiality, or other rights of IZI1 or any third party; (b) is unlawful, fraudulent, defamatory, harassing, abusive, hateful, obscene, threatening, misleading, or otherwise objectionable; (c) contains malware, harmful code, or other material that could impair the Site or expose IZI1 or others to liability; (d) contains unauthorized personal information of others; or (e) otherwise violates applicable law. IZI1 may remove, refuse, pre-screen, review, filter, modify, or restrict any Submission in its discretion, but has no obligation to monitor all Submissions.
Feedback. If you provide any ideas, suggestions, recommendations, comments, improvement requests, or other feedback relating to the Site or IZI1’s offerings (“Feedback”), you grant IZI1 a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free right to use, reproduce, modify, adapt, publish, disclose, distribute, perform, display, and otherwise exploit that Feedback for any lawful purpose without compensation, attribution, or restriction. To the extent permitted by law, you also assign to IZI1 any rights you may have in such Feedback.
Ownership; Intellectual Property; Trademarks. As between you and IZI1, the Site and all content, software, code, interfaces, page layouts, databases, compilations, visual elements, workflows, text, graphics, logos, trademarks, service marks, trade names, documentation, and other materials made available through the Site (collectively, “Site Content”) are owned by IZI1 or its licensors and are protected by applicable intellectual-property and other laws. Except for the limited rights expressly granted in these Web Terms, no license or other right is granted to you by implication, estoppel, or otherwise. You may not obscure or remove proprietary notices. IZI1, and any associated logos, names, or marks used on the Site, are trademarks or service marks of IZI1 or its licensors. All other marks belong to their respective owners.
Privacy. By using the Site, you acknowledge that IZI1 may collect, use, disclose, and otherwise process information as described in the applicable Privacy Notice. The Privacy Notice governs privacy-specific matters and is incorporated into these Web Terms by reference.
Representations. You represent and warrant that: (a) you have the legal power and authority to enter into and comply with these Web Terms; (b) all information you provide to IZI1 is truthful, accurate, and complete; (c) your use of the Site will comply with these Web Terms and all applicable laws; (d) your access to and use of the Site will not violate any agreement or legal obligation applicable to you; (e) your Submissions and Feedback do not violate any law or third-party right; and (f) you will not use the Site to obtain competitive intelligence about IZI1 or to compete improperly with IZI1.
Compliance with Law; Sanctions. You agree that your access to and use of the Site will comply with all applicable laws, rules, regulations, and governmental requirements, including those relating to data privacy, consumer protection, intellectual property, customs, trade, sanctions, export controls, anticorruption, antiboycott, and anti-money-laundering compliance to the extent applicable. You may not access or use the Site in connection with any sanctioned or embargoed person, territory, destination, end use, or transaction prohibited by applicable law.
Third-Party Materials; No Responsibility for Third Parties. The Site may display, reference, embed, link to, integrate with, or provide access to content, systems, services, retailer materials, carrier materials, advertisements, plug-ins, marketplaces, tools, or other information supplied by third parties (“Third-Party Materials”). Third-Party Materials are provided for convenience only. IZI1 does not control, endorse, or assume responsibility for any Third-Party Materials or any third party’s services, pricing, availability, representations, content, security, accessibility, privacy practices, or conduct. Your interactions with third parties are solely between you and the applicable third party and may be governed by separate terms. You should review any applicable third-party terms and privacy notices before engaging with Third-Party Materials.
No Advice; Informational Nature of Site Content. The Site and its content are provided for general informational, account-management, navigation, and operational purposes only. Unless expressly stated otherwise in writing, nothing on the Site constitutes legal, regulatory, customs, tax, logistics, insurance, or professional advice, or a binding offer, guarantee, warranty, or representation that any product, service, retailer offer, shipment option, rate, schedule, or transaction is available on the displayed terms at any given moment. You are solely responsible for independently evaluating any transaction, service, or third-party offering before relying on it.
No Agency; No Joint Venture; No Special Relationship. Your use of the Site does not create any agency, partnership, joint venture, fiduciary, employment, franchise, or similar relationship between you and IZI1 or between IZI1 and any third party. Unless expressly stated in a separate written agreement, IZI1 is not acting as your agent, carrier, freight forwarder, customs broker, customs agent, insurer, banker, escrow agent, money transmitter, marketplace operator, or merchant of record merely by making the Site available.
Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ALL SITE CONTENT, ALL SUBMISSIONS FUNCTIONALITY, AND ALL RELATED FEATURES, MATERIALS, AND SYSTEMS ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. IZI1 DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, QUIET ENJOYMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IZI1 DOES NOT WARRANT THAT ANY INFORMATION ON THE SITE WILL BE CURRENT, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES. ANY CONTENT OR MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SITE IS ACCESSED AT YOUR OWN RISK.
Limitation of Liability. To the maximum extent permitted by applicable law, neither IZI1 nor any Related Party will be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profit, revenue, goodwill, data, business opportunity, anticipated savings, or use, arising out of or relating to your access to or use of the Site, any Site Content, any Submission, any Third-Party Materials, or these Web Terms, even if advised of the possibility of such damages. If you are dissatisfied with the Site or these Web Terms, your sole and exclusive remedy is to discontinue using the Site. To the maximum extent permitted by applicable law, the aggregate liability of IZI1 and all Related Parties for any claim arising out of or relating to the Site or these Web Terms will not exceed the lesser of: (a) USD $50.00; or (b) the amount, if any, you paid directly to IZI1 specifically for Site access during the three (3) months preceding the event giving rise to the claim.
Indemnification. To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless IZI1 and its Related Parties from and against any claims, demands, actions, losses, damages, liabilities, judgments, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Web Terms, your Submissions, your infringement or violation of any third-party right, or your violation of applicable law.
Termination; Effect of Termination. IZI1 may suspend, restrict, block, or terminate your access to the Site or any related account, in whole or in part, at any time and without prior notice to the maximum extent permitted by law, including for any actual or suspected violation of these Web Terms, misuse of the Site, unlawful activity, security concerns, operational reasons, or conduct that may harm IZI1, Related Parties, third parties, other users, or the integrity of the Site. Upon termination, all rights granted to you under these Web Terms will immediately cease. Termination does not limit any accrued rights, remedies, or obligations, and provisions that by their nature should survive will survive.
Injunctive Relief. You acknowledge that any actual or threatened breach of these Web Terms may cause irreparable harm to IZI1 for which monetary damages may be inadequate and that, to the maximum extent permitted by law, IZI1 may seek injunctive, equitable, or other appropriate relief without the necessity of posting bond, in addition to any other rights or remedies available at law or in equity.
Dispute Resolution; Governing Law; Venue; Arbitration; Class Action Waiver. To the maximum extent permitted by applicable law, these Web Terms and any dispute, claim, or controversy arising out of or relating to the Site, Site Content, or these Web Terms (each, a “Dispute”) will be governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Before initiating arbitration or litigation, you and IZI1 agree to attempt to resolve any Dispute informally by written notice describing the claim and the relief sought. If a Dispute cannot be resolved informally within a reasonable period, then, to the maximum extent permitted by applicable law, any Dispute may be resolved, at IZI1’s election, by final and binding individual arbitration administered by a nationally recognized arbitration provider under its applicable commercial or consumer rules, as appropriate. If arbitration is not enforced, the state and federal courts located in Delaware will have exclusive jurisdiction, and you irrevocably submit to the personal jurisdiction and venue of those courts. Any arbitration or court proceeding must be conducted only on an individual basis and not in a class, collective, representative, consolidated, mass, or private-attorney-general capacity. To the maximum extent permitted by applicable law, you and IZI1 each waive any right to a jury trial in any permitted court proceeding. Either party may elect to bring an eligible Dispute in small claims court on an individual basis if the Dispute qualifies. You may opt out of arbitration by sending written notice to the contact address designated by IZI1 for legal notices within thirty (30) days after the date you first accept these Web Terms, clearly stating your intent to opt out of arbitration. If you opt out, any Dispute must be resolved exclusively in court and on an individual basis.
Changes to Web Terms. To the maximum extent permitted by applicable law, IZI1 may modify these Web Terms from time to time by posting updated Web Terms on the Site or otherwise making them available through electronic means. Unless a different effective date is stated, changes become effective when posted. Your continued access to or use of the Site after the effective date of revised Web Terms constitutes your acceptance of the revised Web Terms to the fullest extent permitted by law. If you do not agree to the revised Web Terms, your sole remedy is to discontinue using the Site.
Assignment; No Waiver; Severability; Entire Agreement. You may not assign, delegate, transfer, or sublicense any rights or obligations under these Web Terms without IZI1’s prior written consent. Any purported assignment in violation of the foregoing is void to the fullest extent permitted by law. IZI1 may assign, delegate, transfer, subcontract, or otherwise dispose of its rights or obligations under these Web Terms to the extent permitted by law. No failure or delay by IZI1 in exercising any right or remedy under these Web Terms will operate as a waiver. If any provision of these Web Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect. These Web Terms, together with the Privacy Notice and any additional terms expressly incorporated by reference or separately accepted in connection with a specific Site feature, account function, service, or transaction, constitute the entire agreement between you and IZI1 regarding your general access to and use of the Site.
